Terms of Service

These terms are the agreement between you and ContextIQ for use of our service. They cover what ContextIQ does, what you are responsible for, how billing works, and the limits of what we can promise. Please read them — by using ContextIQ you accept them.

Agreement to these terms

By accessing or using ContextIQ, you agree to be bound by these Terms of Service and all applicable laws. If you use ContextIQ on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms, and “you” refers to that organisation. If you do not agree, do not use the service.

The service

ContextIQ is an AI knowledge layer that connects the tools where your team works — such as Slack, Gmail, Google Drive, GitHub, and Notion — and helps you find what was agreed, understand why it changed, and know what to do next. ContextIQ is under active development; features may be added, changed, or removed, and some capabilities are offered on an early-access or trial basis.

Accounts and workspaces

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Workspace administrators control who can join a workspace and what they can access. Notify us promptly of any unauthorised use.

Connecting third-party tools

When you connect a third-party tool, you authorise ContextIQ to access the content you select in order to provide the service. You confirm that you have the right and any necessary permissions to connect those accounts and that content. Your use of each third-party tool remains governed by that provider’s own terms, and we are not responsible for their services.

Your content

As between you and ContextIQ, you retain all rights to the content you connect. You grant us a limited, non-exclusive licence to access, process, and display that content, and to generate derived context from it, solely to provide and improve the service for you. You are responsible for ensuring you have the rights to connect the content you choose and that doing so does not breach any obligation you owe to others.

Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable law or regulation.
  • Connect content you do not have the right to connect, or that infringes the rights of others.
  • Attempt to gain unauthorised access to the service, other accounts, or our systems.
  • Reverse engineer, scrape, or interfere with the service, or circumvent usage or security limits.
  • Introduce malware or use the service to store or transmit harmful or malicious code.
  • Use ContextIQ, or its outputs, to build or train a competing product or service.

AI outputs

ContextIQ generates summaries, answers, and connections from the content you connect. These outputs are produced by automated systems and may be incomplete or inaccurate. They are provided to support your judgement, not replace it, and are not professional, legal, or financial advice. You are responsible for reviewing outputs and for any decision you make based on them.

Trials, subscriptions, and billing

ContextIQ offers a 7-day free trial and paid plans (currently Context+, ContextIQ, and Enterprise). Unless stated otherwise:

  • Subscription fees are billed in advance for each billing period and are exclusive of applicable taxes.
  • Early-access or founder pricing may be offered at our discretion and may change if you materially expand usage or move to a different plan.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Except where required by law, fees already paid are non-refundable.
  • We may change prices or plans with reasonable prior notice, effective from your next billing period.

Intellectual property

The service, including its software, design, and trademarks, is owned by ContextIQ and protected by intellectual property laws. These terms grant you a limited, non-transferable right to use the service and do not transfer any ownership to you. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the service.

Availability and changes

We aim to keep the service available and reliable, but we do not guarantee uninterrupted or error-free operation unless we have separately agreed a service level with you. We may perform maintenance and modify or discontinue features, and will give reasonable notice of material changes where practical.

Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Limitation of liability

To the maximum extent permitted by law, ContextIQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amount you paid to us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold ContextIQ harmless from claims, damages, and reasonable costs arising from your misuse of the service, your content, or your breach of these terms or of any third party’s rights.

Termination

You may stop using the service and close your account at any time. We may suspend or terminate your access if you materially breach these terms or use the service in a way that is harmful to others, to us, or to third parties. On termination, your right to use the service ends and your data is deleted in line with our Privacy Policy. Terms that by their nature should survive termination will do so.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without affecting any mandatory consumer protections you may have where you live.

Changes to these terms

We may update these terms as the service evolves. If we make material changes, we will update the date above and, where appropriate, notify you through the service or by email. Continued use after changes take effect means you accept the updated terms.
